Oil Collection Agreement

This Agreement is made by and between Abc Management Company whose Address is 123 S Main St. Suite 300, Anywhere, TX 76XXX, herein called Collector, and , whose address is herein called Restaurant. This agreement is made this the day of 200 and expires 36 months from the execution thereof.

1. Collector agrees to haul off Waste Vegetable Oil, herein called WVO, and pay Restaurant $ per gallon of net WVO. Net WVO will be defined as what is left over after the water and solids are removed. Collector will provide a detailed accounting along with a check by the 10th of the following month.
2. Collector agrees to provide an appropriate sized WVO receptacle based on the needs of the Restaurant and the resources of the Collector. Needs will be based on how much WVO is generated per week. Haul-offs will be made once per week. Collector agrees to come out sooner with a 24 hour notice.
3. Collector agrees to keep the area around the WVO Receptacle clean (providing that it is kept outdoors). Spills will be cleaned up immediately. Collector will use a high pressure washer at least once per month. Collector and Restaurant are to agree if a pressure wash more than once per month is necessary. Collector will perform a cursory clean up as required.
4. Collector assumes ownership of the WVO once it is deposited in the Collector provided WVO Receptacle. Restaurant may not give anyone permission to take WVO at any time. Collector assumes responsibility for WVO once it leaves the premises.
5. Acts of God, vandalism or theft: Restaurant assumes responsibility for property damage to any real property or the personal property of the employees of the Restaurant. Collector assumes responsibility for property damage to the WVO Receptacle or any other personal property provided by Collector.
6. Restaurant agrees to keep WVO Receptacle closed. This ensures that rodents, other wildlife and water (rainwater if kept outside) are kept out.
7. Restaurant agrees to make it easy to access the WVO Receptacle(s).
8. This Agreement may be modified from time to time with the consent of both parties.
9. Notices may be sent to each of the parties at the addresses above. Written notification will be made with in 30 days of change of address.
10. Cancellation fees shall be limited to the estimated value remaining on this Agreement. The value will be based on the average monthly WVO collected, the agreed upon value of said WVO, and the time remaining on the Agreement. Prevailing party shall be reimbursed legal fees.
